Vendor Terms of Service Agreement

This Vendor Terms of Service Agreement (the “Agreement”) is entered into between CharlestonCityMarket.com (“CharlestonCityMarket.com”) and the vendor (the “Vendor”).

CharlestonCityMarket.com is an advertising platform for the merchants of the Charleston City Market area and is not affiliated with the city of Charleston, South Carolina.

1. Payment Terms: Vendor agrees to pay CharlestonCityMarket.com the agreed-upon fees for using the platform. Payments shall be made in accordance with the payment terms specified by CharlestonCityMarket.com. Failure to make payments may result in suspension or termination of services.
2. Dispute Resolution: Any disputes between CharlestonCityMarket.com and Vendor shall be resolved through mediation or arbitration in Charleston, South Carolina, in accordance with the laws of South Carolina.
3. Intellectual Property Rights: Vendor acknowledges that CharlestonCityMarket.com owns all intellectual property rights related to the platform. Vendor grants CharlestonCityMarket.com the right to use Vendor’s trademarks, logos, and business names for promotional purposes.
4. Rules and Regulations: Vendor agrees to adhere to all rules and regulations set forth by CharlestonCityMarket.com. Vendor shall not engage in any illegal or unethical practices while using the platform. Violation of these rules may result in suspension or termination of services.
5. Termination: CharlestonCityMarket.com reserves the right to terminate this Agreement at any time for any reason. Vendor may also terminate this Agreement by providing written notice to CharlestonCityMarket.com.
6. Confidentiality: Vendor agrees to keep all information related to CharlestonCityMarket.com confidential and not disclose it to any third parties without written consent.

By using CharlestonCityMarket.com, Vendor agrees to be bound by the terms of this Agreement. This Agreement constitutes the entire agreement between CharlestonCityMarket.com and Vendor, and supersedes any prior agreements or understandings.
